Agreement to These Terms
These Terms of Service govern your use of Mata websites, reports, proposals, website services, hosting and care plans, and related services provided by Innova Portfolio, LLC. MataHQ is an Innova Portfolio, LLC product.
By using the site, requesting a report, approving a proposal, paying an invoice, or using our services, you agree to these Terms. If a written proposal, statement of work, service agreement, or invoice conflicts with these Terms, the written project document controls for that project.
Services
Mata may provide Website Growth Reports, website planning, design, development, content implementation, lead capture setup, basic SEO structure, analytics setup, hosting support, domain support, email support, storage support, monitoring, updates, reporting, and related services.
Specific deliverables, timelines, fees, included revisions, support levels, and ongoing plan details are defined in the applicable proposal, invoice, checkout page, or written agreement.
Website Growth Reports
Website Growth Reports are practical recommendations based on available information at the time of review. They are not guarantees of traffic, search rankings, revenue, leads, sales, uptime, or business outcomes. A report does not require you to purchase services unless you separately approve a paid project or plan.
Your Responsibilities
You are responsible for providing accurate information, timely feedback, required access, approvals, content, images, files, legal notices, business details, and permissions needed for the work. Delays in providing these items may delay delivery.
You are responsible for making sure your business content, claims, images, reviews, trademarks, offers, pricing, services, policies, and legal disclosures are accurate, lawful, and authorized for use.
Domains and DNS
Domain names are usually registered, renewed, and controlled through third-party registrars. Unless a written agreement says otherwise, you are responsible for domain registration fees, renewal fees, accurate registrant information, and keeping domain access current.
If Mata helps register, configure, transfer, or manage a domain, we do so as a convenience or service provider. We do not guarantee that a domain will be available, renewable, transferable, recoverable, or uninterrupted. DNS changes can affect websites, email, analytics, and other services. You authorize us to make agreed DNS changes when needed to provide services.
If a domain is registered or managed through an account controlled by Mata for administrative reasons, ownership or transfer assistance may be provided after all outstanding balances are paid and any third-party requirements are met.
Email Services
Email services may be provided through third-party platforms. Email setup can include mailbox creation, DNS records, routing, authentication records, forwarding, storage, or related configuration.
We do not guarantee email deliverability, inbox placement, uninterrupted email service, spam filtering outcomes, or recovery of deleted messages. You are responsible for lawful email use, account security, passwords, user access, and compliance with anti-spam rules and provider policies.
Hosting, Storage, Monitoring, and Backups
Websites, files, forms, analytics, databases, media, and backups may be hosted or stored through third-party providers. Hosting and storage are subject to provider availability, provider terms, technical limits, maintenance, outages, and security events.
Unless a written agreement includes a specific uptime commitment or backup service, Mata does not guarantee uninterrupted availability, permanent storage, automatic backups, restoration, or recovery of any website, file, email, database, form submission, or content.
You should keep your own copies of important files, credentials, business records, images, written content, contracts, and data. Mata may suspend hosting, updates, support, or access for nonpayment, abuse, security risk, or violation of these Terms.
Files, Content, and Intellectual Property
You keep ownership of content, trademarks, logos, images, files, and materials you provide to us. You grant Innova Portfolio, LLC permission to use, copy, edit, host, display, and process those materials as needed to provide services.
After full payment, and unless a written agreement says otherwise, you own the final website content and final client-specific deliverables prepared for you. Innova Portfolio, LLC keeps ownership of pre-existing materials, reusable code, templates, frameworks, components, processes, internal tools, know-how, workflows, methods, and general design or development techniques.
Third-party software, fonts, plugins, stock assets, platforms, APIs, and integrations remain subject to their own licenses and terms.
Payments, Recurring Plans, and Nonpayment
Fees, deposits, milestones, recurring charges, renewal dates, and payment terms are stated in the applicable proposal, invoice, checkout page, or written agreement. Unless stated otherwise, payments are due when invoiced.
Recurring hosting, care, email, domain, storage, monitoring, or update plans continue until canceled under the applicable plan terms. Failure to pay may result in late fees, paused work, suspension of support, suspension of hosting or email services, removal of access, or termination of services.
Amounts paid are generally non-refundable once work begins, services are provisioned, third-party costs are incurred, or a billing period has started, unless a written agreement says otherwise.
Changes, Revisions, and Scope
Included revisions and update time are limited to the applicable scope. New pages, new features, new integrations, ecommerce, custom systems, migrations, urgent work, brand work, copywriting, photography, video, legal copy, advanced SEO, paid ads, or work outside the original scope may require a new quote or additional fees.
Acceptable Use
You may not use Mata services to host, transmit, promote, or support unlawful, infringing, deceptive, abusive, harmful, malicious, obscene, defamatory, spam-related, or security-threatening content or activity. You may not interfere with systems, attempt unauthorized access, overload services, or violate third-party platform rules.
Third-Party Services
Many services rely on third-party providers, including domain registrars, DNS providers, hosting platforms, email platforms, analytics tools, payment processors, storage services, form processors, security tools, plugins, APIs, and software platforms. We are not responsible for third-party outages, price changes, policy changes, errors, data loss, account restrictions, security incidents, or discontinued services.
No Guarantees
Mata works to improve website clarity, customer paths, lead capture, mobile experience, basic SEO structure, reporting, and maintainability. We do not guarantee search rankings, traffic, leads, revenue, sales, uptime, deliverability, approvals, platform availability, or any specific business outcome.
Disclaimers
Services are provided "as is" and "as available" unless a written agreement states otherwise. To the fullest extent permitted by law, Innova Portfolio, LLC disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free operation.
Limitation of Liability
To the fullest extent permitted by law, Innova Portfolio, LLC will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including lost revenue, lost data, lost goodwill, business interruption, search ranking changes, domain issues, email issues, hosting outages, third-party failures, or security incidents.
To the fullest extent permitted by law, the total liability of Innova Portfolio, LLC for any claim related to the services will not exceed the amount you paid to Innova Portfolio, LLC for the specific service giving rise to the claim during the three months before the event, or $100, whichever is greater.
Indemnification
You agree to defend, indemnify, and hold harmless Innova Portfolio, LLC from claims, damages, liabilities, costs, and expenses arising from your content, your business practices, your breach of these Terms, your misuse of services, your violation of law, your infringement of third-party rights, or information and materials you provide.
Termination
Either party may end services as allowed by the applicable proposal, plan, or written agreement. We may suspend or terminate services for nonpayment, security risk, abusive conduct, unlawful use, third-party provider requirements, or violation of these Terms. After termination, access to hosting, files, backups, email, updates, monitoring, or support may end unless a written agreement states otherwise.
Governing Law and Disputes
Unless a written agreement says otherwise, these Terms are governed by the laws applicable to Innova Portfolio, LLC, without regard to conflict-of-law rules. Any dispute should first be raised in good faith so the parties can attempt to resolve it informally.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of Mata services after an update means you accept the updated Terms.
